Absa Bank Kenya Shareholding Structure: Who Owns the Bank After the 2026 Tender Offer?

Absa Bank Kenya Shareholding Structure

Absa Group Limited will raise its stake in Absa Bank Kenya PLC to 71.99% after acquiring 189.38 million shares from minority shareholders through a voluntary tender offer. The transaction will increase the South African parent company’s holding from 68.5%, leaving other investors with a combined 28.01% stake in the Nairobi Securities Exchange-listed lender.

Absa Group had sought to acquire up to 895.99 million shares, equivalent to an additional 16.5% stake, at KSh34.50 per share. The offer ran from June 30 to August 11, 2026. However, shareholders tendered 189.38 million shares through 2,045 valid applications, giving the offer a final take-up rate of 21.14% of the targeted volume.

The shares acquired will cost Absa Group about KSh6.53 billion, compared with a maximum transaction value of approximately KSh30.91 billion had the full offer been accepted.

Following the transaction, Absa Group will hold approximately 3.91 billion shares, representing 71.99% of Absa Bank Kenya’s 5.43 billion issued ordinary shares. The parent company’s holding will increase by about 3.49 percentage points, but remain below the 85% stake it had targeted through the tender offer.

Who Holds the Remaining Absa Bank Kenya Shares?

Investors outside Absa Group will collectively own approximately 28.01% of Absa Bank Kenya after the tender offer. The minority shareholder base comprises individual investors and institutions, including pension funds and insurance companies.

Amarjeet Baloobha Patel is the largest identified Absa Kenya individual shareholder, with approximately 1.20%, equivalent to about 65 million shares.

Other Absa Kenya local investors include Patrick Njogu Kariuki and Eliud Simon Mbilu, while institutional shareholders include Equity Life Assurance Kenya and Jubilee Holdings Limited. The remaining shares are distributed among other investors in the bank’s NSE shareholder base.

How the 2026 Tender Offer Changed Ownership

Absa Group launched the offer as part of its plan to increase its ownership of the Kenyan subsidiary by up to 16.5 percentage points. The offer covered 895,989,600 ordinary shares at KSh34.50 each.

If fully taken up, the transaction would have increased Absa Group’s stake from 68.5% to 85% and required about KSh30.91 billion. Instead, only 189,380,644 shares were tendered.

The resulting acquisition will increase Absa Group’s shareholding to 71.99% for approximately KSh6.53 billion. The 706.61 million shares that were not tendered under the offer remain with their existing shareholders.

Absa Bank Kenya’s Ownership before the Tender Offer

Absa Group’s 68.5% holding dates back to the restructuring of Barclays’ African banking operations. The Kenyan lender operated as Barclays Bank of Kenya before Barclays PLC began reducing its ownership of its African businesses.

Absa Group subsequently took control of the Kenyan subsidiary, with its shareholding settling at 68.5%. The ownership structure remained at that level until the 2026 tender offer.

The lender changed its name from Barclays Bank of Kenya to Absa Bank Kenya PLC on February 10, 2020, following the wider rebranding of Barclays Africa operations under the Absa name.

The change in branding did not alter Absa Group’s 68.5% controlling stake at the time. The 2026 tender offer is the first increase in the parent company’s holding described in the current transaction, taking its ownership to 71.99%.
